Software Application License Agreement

22.2. Force majeure. Neither party is held liable to the other party for any delay or non-compliance with an obligation of this Agreement (excluding non-payment of royalties) where the delay or failure is due to events that are not subject to the proper control of that party, such as strike, blockade, war, terrorist act, earthquake, natural disasters, failure or reduction of electricity or telecommunications or data networks or services, or refusal of a license by a government authority. In your CLA, you expressly license your customers to make it clear that the limited use license is revocable and non-transferable. Here you can also identify warranties, limit your liability, describe the rules and limits of use of the license and describe what happens if the rules are violated. Legal disputes over software licenses are common. With a well-developed licensing agreement, you can both protect intellectual property in the software and avoid costly litigation if contractual terms are uncertain or have been breached. Also add a link to the installation or download screen to allow users to access the EULA before they actually access your software/application. 4.1. Third-party products. You (including your authorized users) can use or acquire other third-party products or services related to the software, including third-party applications (see Section 4.2 (Marketplace Applications) or implementation, customization, training or other services. Your receipt or use of third-party products or services is subject to a separate agreement between you and the third party.

If you use the software to enable or use third-party products or services (including third-party applications under Section 4.2 (Marketplace Apps) with the Software, you recognize that third parties can access your data or use it if necessary to collaborate with the Software on their products and services. This may include transferring, transferring, modifying or deleting your data, or storing your data to third-party or third-party systems. The use of your data by third parties is subject to the agreement in force between you and this third-party provider. We are not responsible for the access or use of your data by third parties or their products or services, nor for the security or privacy practices of third parties or their products or services.
